INTRODUCTION
This User Agreement ("Agreement") constitutes a legally binding contract between you ("User", "you", or "your") and PaySofty, accessible at https://paysofty.com ("PaySofty", "we", "us", or "our"). This Agreement governs your access to and use of our payment automation service (the "Service").
PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING OUR SERVICE. BY REGISTERING FOR, ACCESSING, OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICE.
1. DESCRIPTION OF SERVICE
1.1. PaySofty provides a payment automation system that enables merchants to detect and monitor manual payments made to their own Binance accounts. The Service is designed to streamline the payment verification process, but is not a payment processor itself.
1.2. The Service offers tools to help you monitor cryptocurrency transactions through the Binance API, but does not hold, transfer, or have custody of any cryptocurrency or fiat currency on your behalf.
2. REGISTRATION AND ACCOUNT SECURITY
2.1. Account Creation: To use our Service, you must create an account with accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account information.
2.2. API Credentials: You must create and provide Binance API credentials to use the Service. YOU MUST CONFIGURE THESE CREDENTIALS WITH READ-ONLY PERMISSIONS. Creating API credentials with additional permissions (such as trading or withdrawal rights) significantly increases your security risk and is explicitly prohibited under this Agreement.
2.3. Security Responsibilities: You are solely responsible for:
- a) Creating and maintaining secure passwords for your PaySofty and Binance accounts
- b) Properly configuring API keys with appropriate permission limitations
- c) Implementing additional security measures such as IP restrictions on your API keys
- d) Promptly revoking and replacing API credentials if you suspect unauthorized access
- e) All activities that occur under your account, whether or not authorized by you
2.4. Notification Obligation: You must immediately notify us of any unauthorized use of your account or any other breach of security.
3. SERVICE LIMITATIONS AND DISCLAIMER OF WARRANTIES
3.1. No Guaranteed Uptime: PaySofty does not guarantee any specific level of service availability or uptime. The Service may be subject to limitations, delays, and other problems inherent in the use of internet and electronic communications.
3.2. Payment Verification Responsibility: YOU MUST INDEPENDENTLY VERIFY ALL PAYMENTS. The Service is provided as a convenience tool only, and you remain solely responsible for verifying the accuracy, completeness, and status of all payments and transactions.
3.3. No Warranty: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PAYSOFTY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
3.4. Beta Features: Any features labeled as "beta," "preview," "early access," or similar terms are provided for testing purposes and may contain bugs, errors, and other issues. These features are used at your own risk.
4. DATA SECURITY
4.1. Limited Security Guarantee: While we implement reasonable security measures to protect your data, WE CANNOT AND DO NOT GUARANTEE THE ABSOLUTE SECURITY OF ANY INFORMATION YOU TRANSMIT OR STORE THROUGH THE SERVICE.
4.2. Third-Party Security: We have no control over Binance's security practices or protocols. Your use of Binance services is subject to Binance's own terms and conditions and privacy policy.
4.3. Data Breach: In the event of a data breach affecting your account information, we will notify you in accordance with applicable laws. However, we assume no liability for any damages resulting from such breach.
5. FEES AND PAYMENT
5.1. Subscription Plans: Fees for using the Service are based on the subscription plan you select. Current pricing information is available on our website.
5.2. Payment Terms: All fees are due in advance and are non-refundable. By providing payment information, you represent that you are authorized to use the payment method.
5.3. Changes to Fees: We reserve the right to modify our fees at any time. Changes to fees will be communicated to you and will take effect at the start of your next billing cycle.
5.4. Taxes: You are responsible for paying all taxes associated with your use of the Service, excluding taxes based on PaySofty's net income.
6. LIMITATION OF LIABILITY
6.1. Maximum Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PAYSOFTY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- a) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
- b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
- c) ANY CONTENT OBTAINED FROM THE SERVICE
- d) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
- e) SYSTEM ERRORS THAT RESULT IN INCORRECT PAYMENT CONFIRMATION OR REJECTION
- f) ANY CRYPTOCURRENCY PRICE FLUCTUATIONS
- g) ANY DELAYS IN PAYMENT PROCESSING OR VERIFICATION
6.2. Liability Cap: NOTWITHSTANDING ANYTHING TO THE CONTRARY, OUR AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO PAYSOFTY FOR THE SERVICE DURING THE 3-MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.
6.3. Essential Purpose: The limitations on our liability to you in this Section will apply whether or not we have been advised of or should have been aware of the possibility of any such losses arising.
7. INDEMNIFICATION
7.1. You agree to defend, indemnify, and hold harmless PaySofty, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- a) Your violation of this Agreement
- b) Your use of the Service, including any data or content transmitted or received by you
- c) Your violation of any third-party right, including without limitation any intellectual property right, privacy right, or publicity right
- d) Your violation of any applicable law, rule, or regulation
- e) Any claim for damages arising from payment errors or system inaccuracies
8. INTELLECTUAL PROPERTY
8.1. Ownership: The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by PaySofty, its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
8.2. Limited License: This Agreement permits you to use the Service for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service.
9. TERMINATION
9.1. Termination by PaySofty: We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Agreement.
9.2. Termination by You: You may terminate your account at any time by contacting us and requesting account deletion.
9.3. Effect of Termination: Upon termination, your right to use the Service will immediately cease. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
9.4. No Refunds: Termination of your account, whether initiated by you or us, will not entitle you to any refund of any fees previously charged.
10. CHANGES TO TERMS
10.1. Modifications: We reserve the right, at our sole discretion, to modify or replace this Agreement at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
10.2. Continued Use: By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised Agreement. If you do not agree to the new terms, you are no longer authorized to use the Service.
11. GENERAL PROVISIONS
11.1. Entire Agreement: This Agreement constitutes the entire agreement between you and PaySofty regarding the Service and supersedes all prior and contemporaneous written or oral agreements between you and PaySofty.
11.2. Severability: If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
11.3. No Waiver: Our failure to enforce any right or provision of this Agreement will not be considered a waiver of such right or provision.
11.4. Assignment: You may not assign or transfer this Agreement, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer this Agreement without such consent will be null. We may freely assign or transfer this Agreement without restriction.
11.5. Force Majeure: We shall not be liable for any failure or delay in the performance of our obligations under this Agreement that arises from causes beyond our reasonable control, including, but not limited to, acts of God, natural disasters, terrorism, riots, war, epidemics, internet outages, or any other circumstances beyond our reasonable control.
